Introduction

Paracor Company Registration Services is Zimbabwe's foremost registration specialist and has been providing professional services to accountants, lawyers, investors and the public since 1991. We have pioneered a number of products in Zimbabwe, including shelf companies, pre-branded shelf groups and shadow secretarial services.


Private and Public Companies

Zimbabwe has several forms of limited liability company - Public Limited companies, Private Limited companies and Private Business Corporations. The style of both the Public and Private company follows the United Kingdom Limited and Plc company types. The names of these companies except with special dispensation, end with "Limited" and "(Private) Limited" respectively. The Private Business Corporation follows the style of the South African Close Corporation very closely, but is not a very popular format for establishing a business.

Paracor Company Registration Services can register both Public and Private Companies on behalf of our clients. Furthermore, a large number of shelf companies are available for immediate purchase.

The company also offers premium branded shelf groups. These groups consist of one holding company, and five similarly named subsidiaries. The investor decides upon the exact group structure that suits his requirements. Shelf groups also have registered Post Office Box Addresses and the necessary company stamps to commence business immediately.

Thus, with ICSL, we are also able to offer assistance in the planning of structures that take advantage of such treaties, and can offer complete incorporation and management services in onshore locations such as Switzerland, Mauritius, South Africa, Germany, Portugal, the Netherlands and the United States.

Zimbabwe, Zambia, Mozambique, Botswana and South Africa all have differing tax treaty networks which affect dividends, interest, royalties and technical fees.

Secretarial Services

Paracor Company Registration Services provides full company secretarial services. These services range from the provision of Company Secretary and Registered Office to arrangement of bank accounts and the provision of re-mailing and re-faxing facilities.

Our secretarial clients may also, by arrangement, use our prestigious office address during the start-up phase of their operations or for longer periods in certain circumstances.

Furthermore, where it is intended that a Company appoints a Company Secretary from within its management of staff, we provide a Shadow Secretarial Service by performing the main secretarial functions on its behalf.

We undertake to effect changes to the name, memorandum, articles, or capital structure of a company on behalf of our clients.

Paracor Company Registration Services works closely with Executive Search, a leading Harare employment consultancy. Whilst the Paracor Non-Executive Director Programme caters for non-executive positions, all other employment services, including salary reviews and package structuring, are carried out with the assistance of Executive Search.

In association with Fleming Martin we can assist foreign investors with all aspects of investment through the Zimbabwe Stock Exchange. Fleming Martin is the oldest established stockbroker in Zimbabwe, and the largest of the ten brokers active on the bourse.
